Live Nation And Ticketmaster Under Fire For Anticompetitive Practices

Shareholders allege misconduct as U.K. regulators investigate Ticketmaster’s pricing strategies.

Live Nation Entertainment and its subsidiary Ticketmaster find themselves embroiled in multiple legal challenges, as allegations of anticompetitive practices and consumer protection violations surface in both the U.S. and U.K. The stakes are high for the entertainment giant, already dealing with dissatisfaction from consumers and shareholders alike.

Recently, shareholders filed a proposed class action lawsuit, alleging that Live Nation’s remarkable business growth has been propelled by its anticompetitive practices. Specifically, they claim the company retaliated against ventures that chose to reject its ticketing services via Ticketmaster. This lawsuit encompasses thousands of shareholders, highlighting the pervasive concern over Live Nation's operational conduct.

In the face of these accusations, Live Nation asserts it has done nothing wrong. In a statement published by Reuters, the company stressed that it proposed a settlement “solely to eliminate the uncertainty, burden, and expense of further protracted litigation.” The proposed settlement amount would cover only about three percent of the maximum estimated damages, which stand at a staggering US$743 million.

Plaintiffs' lawyers, who have been engaged in what they call “hard-fought litigation and arm’s length negotiations,” assert the settlement is both "fair, reasonable, and adequate," and they are set to request that U.S. District Judge Kenly Kiya Kato grant them up to 33.3 percent of the settlement fund as legal fees, translating to approximately US$6.7 million. A preliminary settlement approval hearing is scheduled for April 24, 2025, as part of the case Donley et al v. Live Nation Entertainment in the U.S. District Court for the Central District of California.

Simultaneously, across the Atlantic, the U.K.’s Competition and Markets Authority (CMA) has begun investigating Ticketmaster after receiving numerous consumer complaints related to ticket sales for an Oasis concert. Consumers alleged that certain tickets, labeled as “platinum,” were sold for 2.5 times more than the usual price without adequate communication of such pricing practices. Hayley Fletcher, the interim senior director of consumer protection, shared her concerns, stating, “We’re concerned that Oasis fans didn’t get the information they needed or may have been misled into buying tickets they thought were better than they were.”

Many Oasis supporters lined up for hours only to encounter unexpected prices. The CMA expects Ticketmaster to collaborate with them in addressing these concerns, ensuring that fans are well-informed when they make ticket purchases in the future.

Ticketmaster defended its position, responding in an emailed statement that it "strives to provide the best ticketing platform through a simple, transparent and consumer-friendly experience." They did express a willingness to consider the CMA’s suggestions to improve the industry for fans. Despite these reassurances, the CMA has indicated that changes made since the investigation's commencement in September 2024 do not satisfy their concerns.

Ticketmaster’s troubles extend beyond the U.K. investigation. As part of a broader scrutiny of their practices, Live Nation has faced legal actions from the Justice Department and nearly 30 states over allegations that they have illicitly monopolized the live events sector. Last week, their request to narrow that case was denied by a federal judge in New York, putting further strain on the company.

Moreover, on March 24, 2025, Live Nation settled a lawsuit with investors for US$20 million. The investors claimed that the company had misrepresented its compliance with antitrust laws, raising significant red flags about the company’s operational integrity. This settlement serves as yet another reminder of the mounting pressures facing Live Nation and Ticketmaster.

The future remains uncertain for Live Nation and Ticketmaster as they navigate these multiple litigations and regulatory investigations, all undertaken under the growing scrutiny of public and consumer expectations. How these legal challenges will unfold and whether they lead to substantial changes in the companies’ practices or accountability remains to be seen, as their overarching narrative continues to evolve amidst controversy.
