CaixaBank has made a significant leadership change by appointing Amparo Moraleda Martínez as its new vice president, a role she will undertake following the departure of Tomás Muniesa, the current non-executive chairman. This decision was announced on March 27, 2025, during a board meeting where the Appointments and Sustainability Committee provided a favorable report for her nomination.
Amparo Moraleda has been an independent director at CaixaBank since 2014 and brings an extensive background in executive leadership and board membership across various national and international companies. Born in Madrid, she holds a degree in Industrial Engineering from the ICAI and a PDG from IESE Business School. Her career includes a notable tenure at IBM, where she served from 1995 to 2009. During her time there, she was appointed executive president for Spain and Portugal in 2001, and later expanded her responsibilities to include Greece, Israel, and Turkey from 2005.
In addition to her role at CaixaBank, Moraleda has held executive positions at Iberdrola from 2009 to 2012. Currently, she also serves as an independent director at major corporations including Airbus Group, Vodafone Group, and A.P. Møller-Mærsk A/S. Furthermore, since 2016, she has been a full academic member of the Royal Academy of Economic and Financial Sciences, reflecting her commitment to advancing economic knowledge.
The recent board meeting not only confirmed Moraleda’s appointment but also proposed several other changes to the board structure. On February 20, 2025, the board put forward the nominations of Rosa María García Piñeiro, Luis Álvarez Satorre, and Bernardo Sánchez Incera as new independent directors. Additionally, Pablo Forero Calderón was proposed as an 'other external director,' and José María Méndez Álvarez-Cedrón was nominated as a proprietary director, representing the 'la Caixa' Foundation. All these appointments are set for a four-year term.
Moreover, the board recommended the re-election of current directors Koro Usarraga Unsain, Fernando Maria Costa Duarte Ulrich, and Teresa Santero Quintillá, also for a four-year period. These proposals will be presented for approval at the Ordinary General Shareholders' Meeting on April 11, 2025.
With these changes, CaixaBank aims to maintain a stable board structure of 15 members, of which 9, or 60%, will continue to be independent directors. This structure is designed to uphold the integrity and independence of the board while ensuring diverse perspectives in decision-making. Notably, the board will also continue to reflect gender diversity, with women making up 40% of its members, aligning with corporate governance best practices.
